Terms of Service
Last updated: 27 June 2026
These Terms of Service (“Terms”) form a binding agreement between you and [Your Company Legal Name](“Files Workshop”, “we”, “us” or “our”) and govern your access to and use of the Files Workshopwebsites, applications, tools and APIs (together, the “Service”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials and API keys secure, and for all activity that occurs under your account. Notify us promptly at support@filesworkshop.app of any unauthorised use.
2. The Service
Files Workshop provides file, document and media tools. Many tools run entirely in your browser and do not transmit your files to us. Other tools run on our servers, and some optional features send content to third-party artificial-intelligence providers to generate results. We may add, change, suspend or remove features at any time.
3. Your content and files
You retain all rights to the files and content you process with the Service (“Your Content”). We do not claim ownership of Your Content. You grant us a limited, worldwide, royalty-free licence to host, copy, transmit and process Your Content solely to operate and provide the Service to you (for example, to run a server-side conversion). You represent and warrant that you have all rights necessary to submit Your Content and that doing so does not violate any law or third-party right.
4. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. We may suspend or terminate access for any violation.
5. Plans, billing and renewals
- Paid plans are billed in advance on a recurring basis through our payment processor, Stripe.
- Subscriptions renew automatically until cancelled. You authorise recurring charges to your payment method.
- Prices may change; we will give reasonable notice before a change affects you.
- Fees are exclusive of taxes, which you are responsible for where applicable.
- Cancellation and refunds are governed by our Refund & Cancellation Policy.
6. Intellectual property
The Service, including its software, design, text, and trademarks, is owned by [Your Company Legal Name] or its licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service except as permitted by applicable law.
7. Third-party services and components
The Service relies on third-party services and open-source components (including, where you enable them, AI providers, hosting providers, and payment processors). Your use of those features may be subject to their terms. We are not responsible for third-party services and provide them on an “as available” basis.
8. No professional advice; accuracy of automated tools
The Service’s outputs — including conversions, OCR, AI summaries, grammar and paraphrasing suggestions, plagiarism and AI-detection estimates, and similar features — are provided for convenience only, may contain errors, and are not guaranteed to be accurate, complete, or fit for any particular purpose. They do not constitute legal, financial, academic, medical or other professional advice. You are solely responsible for reviewing and verifying any output before relying on it.
9. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data will not be lost.
10. Limitation of liability
To the maximum extent permitted by law, [Your Company Legal Name] and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) US$100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to defend, indemnify and hold harmless [Your Company Legal Name] and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or any law or third-party right.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive termination (including sections 3, 6, and 8–14) will survive.
13. Governing law and disputes
These Terms are governed by the laws of [Your Jurisdiction, e.g. England & Wales], without regard to conflict-of-law rules. The courts of [Your Jurisdiction, e.g. England & Wales] will have exclusive jurisdiction, except where mandatory consumer-protection law provides otherwise. Before filing a claim, you agree to first contact us at legal@filesworkshop.app to attempt to resolve the dispute informally.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
15. Miscellaneous
These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
